Mr. Fernandez was a co-founder & the Chairman of Kempstar (a large-scale marketer of energy and agricultural commodities) from November 2015 through June 2020; a member of the Supervisory Board of Smartrac (a RFID products and IoT solutions) from January 2019 through March 2020; Chief Executive Officer of eApeiron Solutions (a brand protection and e-commerce company) from June 2016 through December 2018; served as the founder and Chief Investment Officer of Barnstar Funds, LP (a fund established in 2012 for investment in special situations across the capital markets) from October 2012 through March 2016; and co-founder and Chairman of Lakeview Health Systems, LLC (a private pay, specialized hospital company) from December 2003 through December 2012. Mr. Fernandez was chosen to serve as a director of the Company based on his 30 years’ experience identifying profitable start-up and dislocation opportunities, building significant value and executing both private and public exit strategies.
Douglas S. Ellenoff
Vice Chairman and Chief Business Development Strategist
In addition to his current and continuing role as founder and partner at Ellenoff Grossman & Schole LLP, Mr. Ellenoff assumes the position as Vice Chairman and Chief Development officer at Orbsat, advising the Company on strategic transactions including licensing, joint ventures, and acquisitions opportunities in the e-commerce space.
Douglas S. Ellenoff is the founder and partner at Ellenoff Grossman & Schole LLP, a law firm based in NYC with more than 120 professionals, and he is a corporate and securities attorney with a focus in business transactions, mergers and acquisitions and corporate financings. Mr. Ellenoff has represented companies in connection with their initial public offerings, secondary public offerings, PIPEs, crowdfunding, regulatory compliance, as well as strategic initiatives and general corporate governance matters. Mr. Ellenoff has established his firm as a leader in several alternative finance programs, including SPACs, PIPEs, RDs and Crowdfunding. Along with other members of his Firm, Mr. Ellenoff has been involved at various stages with over 300 SPACs and numerous associated SPAC business combinations.
President and CEO of Global Operations and Director
Mr. Phipps is the founder of the Company’s two subsidiaries, UK-based Global Telesat Communications and US-based Orbital Satcom Corp. and had served as the Company’s CEO and Chairman for six years, leading the company from start-up through its recent listing on Nasdaq. He has over 20 years’ experience in the communications industry, during which time he has overseen acquisitions, mergers and capital raising activities, and has more than 35 years of experience of investment management, finance, and operational roles in several private and public companies.
Paul R. Thomson
Chief Financial Officer and Executive Vice President
Paul R. Thomson has over 43 years of Finance and Enterprise Risk Management experience, supporting corporate growth through operational restructuring and business transactions. Mr. Thomson spent twelve years in public accounting with Price Waterhouse in the UK, Venezuela and the United States before taking Senior Finance and Risk Management roles in the Broadcast, Multi-Level Marketing, Commercial Real Estate and Financial Advisory Industries, most recently in the role of Chief Compliance Officer of Fairholme Capital Management, L.L.C. and Fairholme Funds, Inc. during his tenure from 2008 to January 2020.
Senior Vice President of Operations
Mr. Cohen has 35 years of experience in the private equity and real estate sectors. From 1996 through 2009, he was a Partner at Apollo Real Estate Advisors, where he was involved in the acquisition, financing, asset management and disposition of office, residential, retail and hospitality properties throughout the United States. Earlier, Mr. Cohen was a Managing Director of First Atlantic Real Estate, where he was head of U.S. investments for a Europe-based fund. Most recently, Mr. Cohen was a Partner at Arel Capital, investing in multifamily assets on behalf of institutional and private investors. Mr. Cohen received his BA from Brown University and MBA from Columbia Business School.
Chief Technology Advisor
Mr. Wise has spent 50 years at the forefront of Federal Government and private industry technology development. In the early 1970s, he worked on the first space-based imaging satellites and transmission of that imagery. He spent 36 years at the CIA as an officer within their Science and Technology Directorate and was a pioneer in space-based imaging, drone development, and advanced satellite communication systems. Mr. Wise holds four granted patents from the U.S. Patent Office in the areas of text messaging and Tagging Tracking and Locating (TTL).
Chief Accounting Officer, Secretary and Treasurer
Ms. Carlise is the Chief Accounting Officer, Secretary and Treasurer of Orbital Tracking Corp. She brings over 20 years of experience in strategic and tactical financial management with strong qualifications in all areas of accounting, financial analysis, reporting and planning gained at both publicly traded and private companies.
Before joining Orbital Tracking Corp., she served as CFO and director at FTE Networks, a leading provider of infrastructure services for the telecommunications and wireless sector. Prior to FTE Networks, Carlise served as a CEO, CFO and director of Control System & Instrumentation (CSI) Consultants, which provided information technology consulting and system design to the industrial and manufacturing sectors and as CFO and director of Las Vegas Railway Express, Inc., a developer of passenger rail transportation and related ancillary services. She also served as CFO at Shearson Financial Network, Inc., and as chief financial officer, senior vice president and director at National Record Mart, Inc.
